1. INTRODUCTION

1.1. The mobile application "Phone Win" (the "App") is owned and operated by Phonewin Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at 9, Vaishali Estate, Block A, Gandhi Path West, Vaishali Nagar, Jaipur, Rajasthan, 302021, India.

1.2. These Terms of Use ("Terms") govern Your use of the App. By downloading or using the App, You agree to these Terms.

1.3. Privacy Policy: Your use of the App is also governed by Our Privacy Policy, which explains how We collect, use, and share Your data. By using the App, You consent to the data practices described in the Privacy Policy.

2. ELIGIBILITY

2.1. The App is intended for users aged 18 years or older.

2.2. By using the App, You represent that You are of legal age to form a binding contract under the Indian Contract Act, 1872.

3. NATURE OF SERVICES

3.1. Platform Description: Phone Win is a promotional marketing platform. The Giveaways hosted on the App are promotional contests involving task-based eligibility and social sharing.

3.2. No Lottery/Gambling: This Giveaway is a promotional marketing activity and does not constitute a lottery, gambling activity, prize chit, or money circulation scheme under Indian law. Winners are selected randomly from the pool of eligible users who have completed the mandatory tasks.

3.3. Free-to-Use: The App is completely free. We do not charge any registration fees or subscription fees.

4. GIVEAWAY & CONTEST RULES (Current Feature)

The App currently hosts a promotional Giveaway Event. Participation is subject to the following strict rules:

4.1. No Guarantee of Winning:

• Participation in the Giveaway (selecting a phone, sharing, completing tasks) constitutes an 'Entry' into a random computerized draw.

• It does not guarantee that You will receive the selected phone. Winners are selected randomly.

4.2. Mandatory Participation Steps:

To qualify for an Entry, You must strictly follow the in-app flow:

1. Select Reward: Choose Your preferred device (e.g., iPhone 17, S24 Ultra). Note: Future models like iPhone 18 are subject to launch availability.

2. Mandatory Sharing: Share the App with six (6) distinct friends using the in-app feature. Fake shares or self-referrals will lead to disqualification.

3. Complete Web Tasks: You must complete all six (6) Web Tasks (e.g., visiting sponsor websites for 40 seconds each). Closing the site early invalidates the task.

4. Submit Address: Provide a valid delivery address. This address is recorded for potential prize delivery if You win.

4.3. Winner Announcement:

• Winners will be selected via a random automated draw.

• The date of the draw will be announced within the App.

• Winners will be notified via the registered Mobile Number/App Notification.

4.4. Taxes on Prizes (TDS Compliance):

• Legal Requirement: As per Section 194B of the Income Tax Act, 1961, if the prize value exceeds ₹10,000, the Company is required to ensure that Tax Deducted at Source (TDS) at the applicable rate (currently 31.2%) is paid before releasing the prize.

• Winner's Obligation: Since the prize is "in kind" (e.g., a Phone), the Winner must remit the TDS amount to the Company via Demand Draft or Bank Transfer.

• Release of Prize: The Company will only dispatch the prize after receiving the TDS amount. We will then deposit this tax with the Government and issue a Form 16A (TDS Certificate) to the Winner.

• Refusal: If the Winner fails to pay the TDS amount within 7 days of notification, the prize will be forfeited.

5. SHIPPING & DELIVERY POLICY

Applicable only if You are selected as a Winner.

5.1. Free Shipping: We cover all shipping costs.

5.2. One Attempt Only: We will make one (1) attempt to deliver the reward. If the delivery fails due to an incorrect address or unavailability, the prize is forfeited.

5.3. No Returns/Replacements: All rewards are given on an "as-is" basis as gifts. We do not offer returns, refunds, or replacements for any reason, including colour preference or minor cosmetic issues.

6. PROHIBITED ACTIVITIES

6.1. Zero-Tolerance Policy: We maintain a zero-tolerance policy towards fraud. You are strictly prohibited from using VPNs, Proxies, Emulators (BlueStacks/Nox), multiple accounts, or automated scripts/bots.

6.2. Termination Rights: The Company reserves the right to suspend or permanently terminate any account at its sole discretion, without prior notice, if We believe You have violated these Terms or manipulated the contest.

6.3. Final Decision: Our decision regarding bans, disqualifications, and winner selection is final and binding. You agree not to challenge or dispute these decisions.

7. INTELLECTUAL PROPERTY

7.1. App Content: All content on the App (text, code, graphics) is the property of Phonewin Private Limited.

7.2. Trademarks & Disclaimer: "iPhone" is a trademark of Apple Inc. "Samsung" is a trademark of Samsung Electronics. Phone Win is a third-party platform and is not affiliated with Apple or Samsung. These brands are listed solely as potential rewards. Important: Apple Inc. is not a sponsor of this contest and is not involved in the activity in any manner.

8. DISCLAIMER OF WARRANTIES & LIABILITY

8.1. "As-Is" Basis: The App and its services are provided "as is" without any warranties.

8.2. Task Tracking: We are not responsible if a task fails to register due to internet issues, third-party website failures, or ad-blockers.

8.3. Limitation of Liability: To the maximum extent permitted by applicable law, since the Services are free, Our total liability to You for any claim arising out of these Terms is limited to ₹0 (Rupees Zero). We shall not be liable for any indirect, incidental, or consequential damages.

9. THIRD-PARTY LINKS

The App contains links to third-party websites (for tasks). We are not responsible for the content, privacy policies, or safety of these external sites. You access them at Your own risk.

11. GOVERNING LAW & JURISDICTION

11.1. These Terms shall be governed by the laws of India.
11.2. You agree that any legal action or dispute arising out of Your use of the App shall be exclusively subject to the jurisdiction of the courts in Jaipur, Rajasthan, India.

12. FORCE MAJEURE The Company shall not be liable for any delay or failure to perform its obligations (such as delivering prizes) if such failure is caused by events beyond Our reasonable control, including but not limited to courier strikes, server failures, natural disasters, pandemics, or government restrictions. In such cases, the giveaway timeline may be extended or cancelled without liability.

13. MODIFICATION OF TERMS

13.1. Right to Amend: Phonewin Private Limited reserves the right to modify, amend, suspend, or update these Terms, the Privacy Policy, or any other policy at any time, with or without prior notice to You. Such changes may be necessary due to changes in law, new App features (e.g., introduction of new games), or business practices.

13.2. Notification: While We are not legally obligated to provide individual notice for every minor change, for significant updates (such as changes to Giveaway Rules or Data Usage), We will endeavor to notify You via:

• A pop-up notification within the App; or

• An email to Your registered email address; or

• Updating the "Last Updated" date at the top of these Terms.

13.3. User Responsibility: It is Your sole responsibility to review these Terms periodically for any updates. You can access the latest version of the Terms at any time under the "Settings > Legal" section of the App.

13.4. Acceptance of Changes: Your continued access or use of the App following the posting of changes constitutes Your express acceptance of the revised Terms.

• If You agree: You may continue using the App.

• If You do not agree: You must stop using the App and delete Your account immediately.
